Independent Consultant Agreement

Upon acceptance of this application by Totally Pawsome, Inc ("Totally Pawsome", or "Company"), this application becomes a binding legal agreement and I will become an authorized Totally Pawsome Independent Sales Consultant. Moreover I agree to the following terms and conditions:

Sale of Product

• I will present, promote and sell Totally Pawsome products in an honest and ethical manner.
• I will exercise my best effort to maintain the reputation for quality products and service represented by the Totally Pawsome® brand.
• My earnings and success will depend upon my ability to sell the products directly to consumers through home parties, one-on-one sales and through my sponsoring of other "Independent Sales Consultants" into the business.
• Totally Pawsome has the right to discontinue products or change prices, bonuses, discounts or incentive programs at any time upon notice.

My Role as an Independent Sales Consultant

• I understand I am not and I will not be treated as an employee for federal, state or local tax or any other purpose. As an independent "Sales Consultant" conducting my own business, I will be responsible for filing and paying my own federal, state and local taxes and self employment taxes. Totally Pawsome, as a service to me, is authorized to aggregate the sales tax I have collected on my customer sales and remit it to the appropriate authorities.
• My relationship with Totally Pawsome is set forth in this Independent Sales Consultant Agreement ("Agreement") and in the policies set forth in the Business Owners Manual. The Company reserves the right to change its policies at any time upon publication of the changes. My continued selling of Totally Pawsome products will signify my agreement to these changes as well as any changes made pursuant to paragraph 4 above. I will not be an agent for Totally Pawsome and may not incur any debts, contracts, obligations or liabilities on behalf of the Company.
• I will not be an agent for Totally Pawsome and may not incur any debts, contracts, obligations or liabilities on behalf of the Company
• I will not engage in any unlawful or unfair business practice or violate any applicable laws or regulations.

Use of Trademarks and Confidential Information

• Except for sales literature and sample products which the Company sells or otherwise provides to me, I will not use or display the Totally Pawsome®, Totally Pawsome™ trademarks, trade names and copyrighted materials with out prior written consent from Totally Pawsome.
• I will not use any proprietary or confidential information (including but not limited to customer information, financial information, or information regarding other "Independent Sales Consultants" or Leaders) belonging to Totally Pawsome during or after this Agreement. I will not solicit or persuade any Totally Pawsome "Independent Sales Consultants" or Leaders to promote or sell the products of another direct sales company or of a competitor of Totally Pawsome, while working for the Company, nor compete with Totally Pawsome within a year of termination from Totally Pawsome.

Other Terms and Conditions

• I understand that the success of Totally Pawsome and its independent "Sales Consultants" depends on direct selling to consumers. For this reason I will not sell the Company's products to or through a retail store or other fixed commercial establishment, nor will I sell Totally Pawsome'" products via the Internet, except through a personal website provided to me by the company.
• Either Totally Pawsome or I may terminate this Agreement with or without cause upon prior written notice to the other party. This Agreement will terminate upon my death, insolvency or bankruptcy.
• All of my rights as a Totally Pawsome "Independent Sales Consultant" (including any earnings, privileges or benefits) provided to me by the Company are personal to me and may not be assigned, transferred or assumed without the Company's prior written consent.
• This Agreement shall be governed by the laws of the state of Pennsylvania without regard to the conflict of laws, provisions and principles of such law.
• This Agreement will become effective only when the completed Totally Pawsome Application is received by the Company and a confirmation email is sent to me from Totally Pawsome. It supersedes any other oral and written agreement previously made by me and Totally Pawsome.
